Terms of Use
Effective Date: October 29, 2026
1. Acceptance of Terms
By accessing or using the website located at https://unbrokered.health (the “Site”), the web application accessible through the Site (the “Application”), or any services provided by Unbrokered Health, LLC (“Unbrokered,” “we,” “us,” or “our”) through the Site or Application (collectively, the “Services”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Use (these “Terms”). If you do not agree to these Terms, you must not access or use the Services.
Your use of the Services is also subject to our Privacy Policy, available at https://unbrokered.health/privacy, which is incorporated herein by reference. By using the Services, you acknowledge that you have read and understand the Privacy Policy.
These Terms constitute a legally binding agreement between you and Unbrokered. You represent and warrant that you have the legal capacity and authority to enter into these Terms.
2. Description of Services
Unbrokered Health, LLC is a North Carolina limited liability company providing benchmarking, analytics, and documentation tools for employers, plan professionals, advisors, attorneys, consultants, and researchers via the Site and Application.
The Services include, without limitation, data analytics, benchmarking reports, fiduciary documentation tools, and AI-powered research features (such as “Ask Unbrokered”). AI-powered features are supplementary tools and do not constitute professional advice. AI does not make automated decisions on behalf of Users.
Neutrality Statement. Unbrokered operates as an independent platform. No broker, carrier, pharmacy benefit manager (PBM), or vendor pays for placement, data inclusion, or favorable treatment on the platform. All analytics and benchmarking data are provided without conflicts of interest arising from third-party compensation arrangements.
No Fiduciary Relationship. Nothing in these Terms or in the Services creates a fiduciary, advisory, or agency relationship between Unbrokered and any User. Unbrokered does not act as a fiduciary to any employer, plan, plan participant, or other party. The Services, including fiduciary documentation tools, are informational and administrative in nature and are not intended to constitute fiduciary advice or to impose fiduciary duties on Unbrokered. Users are solely responsible for their own fiduciary obligations and should consult qualified professionals for fiduciary guidance.
3. Eligibility
The Services are intended solely for users who are at least eighteen (18) years of age. By accessing or using the Services, you represent and warrant that you are at least eighteen (18) years old and are authorized to bind the entity on whose behalf you are accessing the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
4. Account Registration and Security
To access certain features of the Services, you may be required to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your account information to keep it accurate and complete;
- Maintain the security of the email account you use to sign in and of any sign-in link we send you. Sign-in links are single-use and must not be forwarded;
- Accept responsibility for all activities that occur under your account; and
- Notify Unbrokered immediately of any unauthorized access to or use of your account by contacting us at support@unbrokered.health.
Unbrokered reserves the right to suspend or terminate your account at any time if we reasonably believe that your account information is inaccurate or that your account has been compromised.
5. Payments and Billing
Payment Processor. All payments for the Services are processed exclusively through Stripe, Inc. (“Stripe”). By purchasing the Services, you agree to provide accurate and complete billing information to Stripe. Unbrokered does not directly collect or store your credit card numbers, debit card numbers, or bank account numbers. Only Stripe customer identifiers and transaction metadata (such as transaction dates, amounts, and purchase status) are retained by Unbrokered.
Pricing. All fees for the Services are as shown at checkout or otherwise communicated to you before purchase. Unbrokered may change prices for future purchases, but a price change does not alter a completed purchase.
One-Time Products and Access Periods. The Broker Compensation Benchmark Report is a one-time purchase that includes the report PDF and twelve (12) months of live access to the associated company profile. The Insight Pass is a one-time purchase providing twelve (12) months of access. Each Insight Pass is licensed to one named individual and may not be shared. Renewal Readiness is a one-time purchase providing the access period shown at checkout, up to four (4) months. These products do not automatically renew and do not create recurring charges. Continued access after expiration requires a new purchase. Purchased report PDFs and invoices remain downloadable while your account is maintained and for at least ninety (90) days after account termination, as described in Section 14. You should retain your own copies for long-term records.
Taxes. All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties associated with your use of the Services, excluding taxes based on Unbrokered’s net income.
Failed Payments. Access begins only after successful payment. If a payment is not completed or is later reversed, Unbrokered may withhold or suspend access associated with that purchase, subject to applicable law.
No Automatic Renewal. All purchases are one-time transactions. Unbrokered does not enroll Users in subscriptions and does not automatically renew, re-bill, or charge a stored payment method after the initial purchase. Access granted with a purchase runs for the period stated at checkout and then expires. Unbrokered will send a reminder to the email address associated with the account before access expires; renewal requires a new purchase initiated by the User. Nothing in these Terms authorizes a recurring charge.
6. Payment Questions and Disputes
6.1 Contact Us First
If you believe a charge is incorrect or a purchased product was not delivered as described, please contact us promptly so we can investigate. A written notice may be sent by email to support@unbrokered.health or by mail to:
Unbrokered Health, LLC
3064 Wake Forest Road, #1103
Raleigh, NC 27609
Please include your name, account email, transaction date and amount, a description of the issue, and any supporting information reasonably available to you.
6.2 Review
We will review a sufficiently detailed notice in good faith and aim to respond within ten (10) business days. Nothing in these Terms waives rights or deadlines you may have with your card issuer, financial institution, or under applicable law. If a payment dispute is opened, the parties agree to provide reasonably requested information. Unbrokered may pause access tied to the disputed transaction while it is pending where permitted by law.
7. Refund Policy
Refund requests must be submitted in writing to Unbrokered at the following address or via email:
Mail: Unbrokered Health, LLC, 3064 Wake Forest Road, #1103, Raleigh, NC 27609
Email: support@unbrokered.health
Refund requests should include your full name, account email address, transaction date and amount, and the reason for the request. Because the Services include digital reports and time-limited access that may be delivered immediately, purchases are generally final once fulfilled. We will nevertheless review requests in good faith, including duplicate charges, material delivery failures, and other circumstances required by applicable law. Requests made within thirty (30) days of purchase are easier for us to investigate.
If a refund is approved, it will be processed through Stripe to the original payment method within a commercially reasonable time frame.
8. Intellectual Property
All content, materials, software, data compilations, analytics, benchmarks, peer data, methodologies, text, graphics, logos, trademarks, trade names, service marks, and other intellectual property displayed on or made available through the Services, excluding User Content and User Reports (each as defined in Section 10) (collectively, “Unbrokered Content”), are the exclusive property of Unbrokered or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, Unbrokered grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and Unbrokered Content for your internal business purposes and, if you are acting as a professional advisor, attorney, consultant, or other authorized representative, to use relevant exports and User Reports in providing services to the client organization to which the report relates. This license does not include any right to:
- Resell, redistribute, or sublicense the Services or any Unbrokered Content;
- Modify, adapt, or create derivative works based on the Services or Unbrokered Content;
- Download, copy, or store any Unbrokered Content except as expressly permitted, provided that you may download and retain copies of your User Reports, permitted exports, and invoices for the professional uses described above; or
- Use any data mining, robots, or similar data-gathering or extraction methods on the Services.
All rights not expressly granted herein are reserved by Unbrokered and its licensors.
9. User Conduct and Prohibited Uses
You agree that you will not, and will not permit any third party to, use the Services to:
- Violate any applicable federal, state, local, or international law or regulation;
- Upload, transmit, or otherwise make available any protected health information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA), as prohibited under our Privacy Policy;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data structures of the Services or any component thereof;
- Scrape, crawl, index, or use any automated means to access, collect, or harvest data from the Services;
- Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services;
- Upload, transmit, or distribute any viruses, worms, Trojan horses, malware, or other malicious or destructive code;
- Interfere with or disrupt the integrity, security, or performance of the Services or any servers or networks connected thereto;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Use the Services for any purpose that is fraudulent, deceptive, or harmful; or
- Encourage or facilitate any of the foregoing.
Unbrokered reserves the right to investigate and take appropriate action, including suspension or termination of your account, for any violation of this Section.
10. Content Ownership and Licenses
Confidential Information. For purposes of this Section, “Confidential Information” means all data, documents, and information that you upload or otherwise provide through the Services (collectively, “User Content”). You retain all right, title, and interest in and to your Confidential Information and User Content.
Unbrokered Content and User Reports. All other content, materials, data compilations, analytics, benchmarks, peer data, methodologies, and intellectual property available through the Services (collectively, “Unbrokered Content”) are and remain the property of Unbrokered or its third-party licensors, as applicable. You own the reports and outputs generated by the Services based on your data (collectively, “User Reports”); however, Unbrokered’s benchmarks, peer data, methodologies, and data compilations incorporated in or underlying a User Report remain Unbrokered Content. You may share User Reports with your board, officers, employees, professional advisors, and—if you are an authorized professional advisor—with the client organization to which the report relates, in each case for legitimate internal or professional purposes. You may not resell, publish, or publicly distribute User Reports or benchmark datasets as a standalone product.
Confidentiality Commitment. Unbrokered will treat your Confidential Information as confidential and will not use, disclose, or provide access to it except: (a) as reasonably necessary to provide, maintain, secure, and support the Services; (b) in de-identified or aggregated form for product analytics and improvement as described in the Privacy Policy; (c) with your direction or consent; or (d) as required by applicable law, regulation, or legal process.
License to Unbrokered. You grant Unbrokered a non-exclusive, royalty-free license to host, reproduce, process, and display User Content as reasonably necessary to provide, secure, maintain, and improve the Services and to meet legal obligations. Broker-compensation submissions may supply your own current figure but do not enter broker peer benchmark cells, which use public Form 5500 Schedule A/C filings only. Any use of employer-submitted Rx data in an Rx peer pool will follow the disclosures and choices presented for that product.
User Representations. You represent and warrant that: (a) you own or have all necessary rights, licenses, and permissions to upload and share the User Content; (b) the User Content does not infringe, misappropriate, or violate any third party’s intellectual property rights, privacy rights, or other legal rights; and (c) the User Content does not contain any protected health information (PHI) in violation of our Privacy Policy.
Disclaimer. Unbrokered is not responsible for the accuracy, completeness, or legality of any User Content and disclaims all liability in connection therewith.
11. Disclaimers
No Advice; No Fiduciary, Brokerage, or Agency Relationship. Unbrokered provides data, benchmarking analytics, and documentation tools. Unbrokered is not a law firm, insurance broker, insurance producer, insurance agent, benefits consultant, investment adviser, or accounting firm, and does not provide legal, tax, actuarial, insurance, or professional advice. Unbrokered does not sell, solicit, negotiate, or place insurance, and receives no commission, referral fee, override, or other compensation from any broker, carrier, pharmacy benefit manager, third-party administrator, or vendor.
Unbrokered is not a fiduciary to any employee benefit plan, does not exercise discretionary authority or control over any plan or its assets, and does not render investment advice with respect to plan assets. Nothing in the Services creates a fiduciary, agency, brokerage, or attorney-client relationship between Unbrokered and any User, plan, or plan sponsor.
Unbrokered does not determine whether any service provider's compensation is reasonable under ERISA Section 408(b)(2) or any other standard. Templates, letters, question sets, and memoranda made available through the Services are starting points for the User's own review and are not completed legal instruments. The User, acting as plan fiduciary or through its own advisors, is solely responsible for reviewing and adapting any such document, for any determination it reaches, and for compliance with applicable law. Users should consult their own legal counsel, benefits advisors, and tax professionals before acting on any output of the Services.
Source of Benchmark Data. Benchmark figures are derived from third-party public filings submitted to the U.S. Department of Labor by plan sponsors and their service providers. Unbrokered does not control, audit, or independently verify the accuracy or completeness of those filings, and figures may reflect errors, omissions, or inconsistencies in the underlying public record. Unbrokered identifies the source of each figure so that Users may verify it at its original source.
THE SERVICES, INCLUDING ALL CONTENT, SOFTWARE, FUNCTIONS, MATERIALS, AND INFORMATION MADE AVAILABLE ON OR ACCESSED THROUGH THE SERVICES, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNBROKERED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Unbrokered does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of the Services will be accurate or reliable; (c) any errors in the Services will be corrected; or (d) the Services will meet your specific requirements.
No Professional Advice. Unbrokered does not provide insurance brokerage, legal, tax, accounting, or medical advice. The Services, including any benchmarking data, analytics, reports, and AI-powered features (such as “Ask Unbrokered”), are informational tools only and are not a substitute for professional judgment or advice from qualified professionals. AI-powered features are supplementary and should not be relied upon as the sole basis for any business, legal, or medical decision.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNBROKERED, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF UNBROKERED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF UNBROKERED AND ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO UNBROKERED IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
The limitations of liability set forth in this Section shall apply to the fullest extent permitted by law in the applicable jurisdiction.
13. Indemnification
You agree to indemnify, defend, and hold harmless Unbrokered and its officers, directors, members, managers, employees, agents, licensors, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to: (a) your misuse of the Services or use of the Services in violation of these Terms; (b) your violation of any applicable law, rule, or regulation; (c) your User Content; or (d) your infringement or misappropriation of any third party’s intellectual property rights, privacy rights, or other legal rights.
Unbrokered reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Unbrokered in asserting any available defenses.
14. Termination
You may terminate your account at any time by contacting us at support@unbrokered.health or through your account settings. Unbrokered may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice, including but not limited to a breach of these Terms.
Upon termination: (a) your right to access and use the Services (other than as set forth in subsection (d) below) will immediately cease; (b) Unbrokered may delete your account data in accordance with our Privacy Policy, except as set forth in subsection (d) below; (c) any outstanding payment obligations shall remain due and payable; and (d) notwithstanding the foregoing, Unbrokered will continue to provide you with reasonable access to download your previously purchased User Report PDFs and invoices for a period of at least ninety (90) days following termination, after which Unbrokered may make such materials available upon written request.
The following Sections shall survive termination or expiration of these Terms: Section 5 (Payments and Billing), Section 6 (Payment Questions and Disputes), Section 7 (Refund Policy), Section 8 (Intellectual Property), Section 10 (Content Ownership and Licenses), Section 11 (Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 15 (Governing Law and Dispute Resolution), and Section 18 (Miscellaneous/General Provisions), together with any other provisions that by their nature should survive.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of laws principles.
15.2 Exclusive Jurisdiction
Subject to the arbitration provision below, you agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Wake County, North Carolina. You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue therein.
15.3 Mandatory Arbitration
Except for disputes relating to intellectual property rights or claims for injunctive or equitable relief, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wake County, North Carolina. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. YOU AND UNBROKERED AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
15.4 Arbitration Opt-Out
The arbitration opt-out right described in this Section 15.4 is available only to the extent required by applicable law. If applicable law requires that users be given the right to opt out of mandatory arbitration, you may opt out by sending written notice of your decision to opt out to: Unbrokered Health, LLC, 3064 Wake Forest Road, #1103, Raleigh, NC 27609, within thirty (30) days of first accepting these Terms. The notice must include your full name, account email address, and a clear statement that you wish to opt out of arbitration. If applicable law does not require that users be given the right to opt out of mandatory arbitration, this Section 15.4 shall not apply, and the mandatory arbitration provision in Section 15.3 shall govern. If you validly opt out where required by applicable law, all disputes will be resolved exclusively in the state or federal courts located in Wake County, North Carolina.
16. Notice
All notices to Unbrokered under these Terms must be sent in writing to:

17. Modifications to Terms
Unbrokered reserves the right to modify, amend, or update these Terms at any time in its sole discretion. If Unbrokered makes material changes to these Terms, we will provide reasonable notice by posting the updated Terms on the Site and updating the “Effective Date” above or by sending you an email notification.
Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services and terminate your account.
18. Miscellaneous / General Provisions
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.
Entire Agreement. These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Unbrokered with respect to the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the Services.
Waiver. The failure of Unbrokered to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Unbrokered.
Assignment. You may not assign or transfer these Terms or any of your rights or obligations hereunder without the prior written consent of Unbrokered. Unbrokered may freely assign or transfer these Terms without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
Force Majeure. Unbrokered shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Unbrokered’s reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, power outages, internet or telecommunications failures, or cyberattacks.
No Third-Party Beneficiaries. These Terms are for the sole benefit of the parties hereto and do not confer any rights or remedies upon any third party.
